Terms of Use

1. Agreement

By signing up for or using Prooflytics ("Service"), you agree to these Terms of Use ("Terms") and our Privacy Policy. The Service is operated by Prooflytics OÜ, a private limited company registered in Estonia ("Company", "we", "us").

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. The Service

Prooflytics provides AI-powered advertising analytics, creative lifecycle classification, and performance reporting for Meta Ads and Google Ads accounts. Available services include:

• Campaign Analyzer — creative lifecycle classification and pattern analysis
• Weekly Performance Update — automated weekly PDF performance reports
• HADI Kanban — marketing hypothesis sprint tracking
• Competitor Intel — weekly competitor ad snapshot and analysis

Services are available individually or as a bundle. Feature availability depends on your active subscription.

3. Accounts and workspaces

You must create an account to use the Service. Each workspace corresponds to one organisation. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.

You must provide accurate information when creating your account. Accounts are for human users only; automated access (bots, scrapers) is prohibited without prior written consent.

4. Trial period

New accounts receive a 7-day free trial upon providing a valid payment method. No charge is made during the trial period. If you do not cancel before the trial ends, your selected subscription will begin and your payment method will be charged.

5. Billing and payment

Subscriptions are billed monthly in advance. Current pricing:

Prices are in USD and exclusive of applicable taxes (VAT for EU customers may apply). Payments are processed by Stripe. We reserve the right to change pricing with 30 days' notice.

6. Cancellation and refunds

You may cancel your subscription at any time from Settings → Subscription. Your access continues until the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

If you believe you were charged in error, contact us within 30 days at billing@prooflytics.io.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any third-party rights
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Resell, sublicense, or redistribute the Service without written consent
• Use the Service to generate misleading, harmful, or defamatory content
• Exceed usage quotas or circumvent rate limits
• Share account credentials with users outside your organisation

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Your data and AI analysis

You retain ownership of all advertising data you connect to the Service. By using the Service, you grant us a limited licence to process your data solely to provide the Service features you request.

AI-generated analyses, reports, and recommendations are produced algorithmically and are provided for informational purposes only. They do not constitute financial, legal, or professional advice. You are solely responsible for decisions made based on these outputs.

9. Third-party integrations

The Service integrates with Meta Ads, Google Ads, Stripe, and other third-party platforms. Your use of these platforms is governed by their respective terms of service. We are not responsible for any changes, outages, or policy changes by these platforms that affect the Service.

10. Intellectual property

The Service, including all software, algorithms, UI, and documentation, is owned by us and protected by copyright and other intellectual property laws. Nothing in these Terms grants you any right to our intellectual property except the limited licence to use the Service.

11. Disclaimer of warranties

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

12. Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for any claims arising from these Terms or use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

13. Governing law

These Terms are governed by the laws of the Kingdom of Spain. Any disputes shall be resolved in the courts of Spain, unless mandatory consumer protection law in your jurisdiction requires otherwise.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
